Welcome to IIC Metaverse Trading Inc. (“IIC”, “we”, “our”, or “us”). These Terms of Use (the “Terms”) govern your access to and use of our website, products, services, and applications (collectively, the “Services”), including the digital wallet service known as IIC S WALLET (the “Wallet”). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By using the Services, you confirm that you are at least the minimum legal age in your jurisdiction to form a binding contract and that you have the authority to enter into these Terms. If you do not agree to these Terms, do not use the Services.

2. Definitions

Services: The website, platform, applications, Wallet, and any features, content, or tools provided by IIC.
IIC S WALLET / Wallet: The digital wallet feature offered by IIC for storing, sending, and receiving supported digital assets (tokens, NFTs, and other blockchain-based assets).
User / You: Any person or entity using the Services.

3. Use of IIC S WALLET

1. Provision of Wallet Services. IIC provides the Wallet to enable you to manage supported digital assets. Availability of specific Wallet features, supported assets, and integrations may change over time and may vary by jurisdiction.

2. Account & Access.  To use certain Wallet features you may be required to create an account and provide accurate information. You are responsible for maintaining the confidentiality of your account credentials, passwords, private keys, and recovery phrase (if applicable). Do not share your credentials with anyone.

3. Security & Responsibility. If the Wallet is non‑custodial, only you control the private keys and recovery phrase; loss or compromise of these means loss of access to your assets. If the Wallet is custodial (i.e., IIC holds keys on your behalf) then we will store and manage your keys in accordance with our security practices and separate Custody Terms. Regardless of model, you agree to follow recommended security practices and accept the risks associated with digital asset custody and transactions.

4. Transactions & Irreversibility. Blockchain transactions are generally irreversible. You are responsible for verifying transaction details before submitting them. IIC is not responsible for incorrectly directed or otherwise erroneous transactions initiated by you.

5. Supported Assets & Third-Party Services. The Wallet may support specific blockchains, tokens, and third‑party integrations. We are not responsible for the functionality, availability, or security of third‑party services, networks, or smart contracts.

4. Risk Disclosure

Digital assets and blockchain technologies are volatile and subject to technical, regulatory, and market risks. IIC does not provide investment, legal, or tax advice. You should conduct your own due diligence and consult professional advisors before acquiring or using any digital asset.

5. Prohibited Uses

You agree not to use the Services to:

•  Violate applicable laws or regulations.
• Engage in fraudulent, unlawful, or malicious activity.
• Attempt to gain unauthorized access to other accounts or systems.
• Interfere with the operation or security of the Services.

6. Fees and Payments

Certain Wallet features or other Services may be subject to fees (e.g., transaction fees, network fees, service fees). You agree to pay all applicable fees. Network or blockchain fees (gas fees) are set by the underlying networks and are not controlled by IIC.

7. Intellectual Property

All content, trademarks, logos, software, designs, and other intellectual property in the Services are the property of IIC or its licensors. You are granted a limited, non‑exclusive, non‑transferable license to use the Services in accordance with these Terms.

8. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information. The Privacy Policy forms part of these Terms.

9. Disclaimers & Limitation of Liability

1. No Warranties.* The Services are provided “as is” and “as available” without warranties of any kind. IIC disclaims all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non‑infringement.

2. Limitation of Liability. To the fullest extent permitted by applicable law, IIC and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or assets arising from your use of the Services. Our aggregate liability for direct damages arising from these Terms will not exceed the total fees paid by you to IIC in the three (3) months preceding the event giving rise to liability, or a lower amount where required by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless IIC and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at our discretion, including if you violate these Terms or applicable law. Upon termination, your right to use the Services ends, but obligations and rights that should survive termination (such as indemnification, limitation of liability, and intellectual property) will remain in effect.

12. Governing Law & Dispute Resolution
